Arafura Signs Binding Offtake Deal for Up to 850 TPA of NdPr Oxide

Summary: Arafura Rare Earths has signed a binding five-year offtake agreement covering up to 850 tonnes per year of NdPr oxide at nameplate production, plus associated heavy rare earths. Pricing will be linked to a global seaborne index, while customary conditions precedent and project execution remain important gates before supply begins.

Binding agreement expands prospective NdPr sales coverage

In an ASX announcement dated 12 October, Arafura said it had executed a binding offtake agreement with a global raw-materials trading company. The annual contract volume is designed to ramp to as much as 850 tonnes of neodymium-praseodymium oxide when the Nolans project reaches nameplate production, increasing the volume from the 500 tonnes per year set out in an earlier binding term sheet.

The contract has an initial five-year term and a possible two-year extension by mutual agreement. It also includes associated heavy rare earths. Arafura did not identify the counterparty, but described it as a global trader with about US$10 billion in annual revenue, more than 20 offices and activity across over 50 commodities.

Index-linked pricing adds a market reference

Arafura said pricing will be denominated in US dollars and tied to an independent global seaborne index. The announcement referenced possible benchmarks from Benchmark Mineral Intelligence or S&P Global Platts, but it did not disclose a fixed price, minimum revenue value or full pricing formula.

The company also said the trading group had been selected under the U.S. government’s Project Vault initiative, which is intended to support critical-mineral supply resilience for American manufacturing. That connection may increase the strategic relevance of future deliveries, but it does not itself demonstrate that the contracted material has already been produced, qualified or delivered.

Commercial milestones still depend on project execution

The agreement is subject to customary conditions precedent, and the full 850-tonne annual volume depends on the project reaching nameplate production. Buyers and industry observers should therefore separate binding sales coverage from current operating supply.

For the permanent-magnet value chain, the announcement is significant because NdPr oxide is a key upstream feedstock for high-performance NdFeB magnets. The practical supply impact will depend on financing, construction, commissioning, product qualification, ramp-up and the performance of the selected price index when deliveries begin.

What B2B buyers should monitor

Procurement teams should watch the satisfaction of conditions precedent, construction and commissioning progress, actual production ramp-up, oxide specifications, conversion capacity into metal and alloy, and customer qualification. A binding offtake contract can improve future sales visibility, but it should not be treated as proof of immediate available inventory.
